These Terms of Service ("Terms") govern your use of the website located at gurupayback.com (the "Site") and the services provided by DMM Growth Solutions LLC, operating as GuruPayback ("GuruPayback," "we," "us," or "our"). Please read these Terms carefully before using our Site or engaging our services.

1. Acceptance of Terms

By accessing our Site, submitting a case review request, or entering into a service agreement with GuruPayback, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use our Site or services. These Terms constitute a legally binding agreement between you and DMM Growth Solutions LLC.

You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are submitting information on behalf of another person, you represent that you have their authorization to do so.

2. Description of Services

GuruPayback provides consumer advocacy and recovery consulting services to individuals who believe they have been defrauded or misled by online course sellers, coaching programs, business opportunity promoters, or similar vendors. Our services include:

• Stage 1 — Chargeback Consulting: Guidance and documentation preparation to support a payment dispute through your bank or card network
• Stage 2 — Attorney-Reviewed Demand Letter: Preparation of a formal demand letter reviewed by licensed legal counsel and submitted to the respondent company, with copies to relevant regulatory bodies including the FTC and applicable state Attorney General offices
• Stage 3 — Legal Referral: Referral to independent licensed consumer protection attorneys in our network who may agree to represent you on a contingency basis in legal proceedings

The specific services provided to you will be outlined in a separate engagement agreement executed between you and GuruPayback prior to commencement of active case work. Submission of a case review form does not by itself create a service engagement.

3. Not a Law Firm — Not Legal Advice

GuruPayback operates as a consumer advocacy and consulting service. The attorneys who review our Stage 2 demand letters do so in their capacity as consultants to GuruPayback, not as your personal legal counsel. They do not form an attorney-client relationship with you at Stage 1 or Stage 2.

At Stage 3, GuruPayback may refer your case to independent licensed attorneys who may agree to represent you directly. Any attorney-client relationship formed at Stage 3 is exclusively between you and that independent attorney. GuruPayback is not a party to that relationship.

We strongly encourage you to consult with a licensed attorney in your jurisdiction regarding your specific legal situation. Our services are not a substitute for personal legal counsel.

4. Contingency Fee Arrangement

GuruPayback operates exclusively on a contingency basis. This means:

• You pay no upfront fees to engage our services
• Our fee is a percentage of the amount actually recovered on your behalf
• If no recovery is achieved, you owe GuruPayback no fee for services rendered

The applicable contingency percentage depends on the stage at which recovery is achieved:

• Stage 1 (Chargeback): 30% of the gross amount recovered
• Stage 2 (Demand Letter): 30–35% of the gross amount recovered, as specified in your engagement agreement
• Stage 3 (Legal Escalation): 50% of the gross amount recovered (reflecting attorney involvement and increased complexity)

The exact fee percentage and any additional terms will be set forth in a written engagement agreement signed by both parties before active case work commences. In the event of any conflict between these Terms and your signed engagement agreement, the engagement agreement controls.

For Stage 3 cases, the independent attorney's fees are included within the 50% contingency — you will not be charged additional attorney fees on top of GuruPayback's percentage unless separately agreed to in writing.

5. Your Obligations

To enable GuruPayback to effectively pursue your case, you agree to:

• Provide accurate, complete, and truthful information about your situation and the respondent company
• Promptly provide documentation and evidence requested by our team
• Notify us of any direct communications you receive from the respondent company during an active engagement
• Not independently negotiate, settle, or accept payment from the respondent company without notifying GuruPayback — doing so may affect our ability to recover and our fee entitlement
• Maintain the confidentiality of case strategy, correspondence, and any attorney communications shared with you
• Cooperate in good faith throughout the recovery process

You represent and warrant that you are the person who entered into the transaction at issue, or are duly authorized to pursue recovery on behalf of that person, and that the information you have provided is accurate to the best of your knowledge.

6. No Guarantee of Results

GuruPayback makes no guarantee, warranty, or representation that any recovery will be achieved in your case. The outcome of any chargeback dispute, demand letter, or legal proceeding depends on numerous factors outside our control, including but not limited to:

• The specific facts and documentation of your case
• The policies of your bank, card network, or payment processor
• The financial condition and responsiveness of the respondent company
• Applicable statutes of limitations and procedural rules
• Decisions by regulatory bodies, courts, or arbitration panels

Past results achieved in other cases do not guarantee or predict future outcomes. Our contingency structure reflects this reality — we only earn a fee when we actually recover funds on your behalf.

7. Limitation of Liability

To the maximum extent permitted by applicable law, GuruPayback, its owners, employees, contractors, and affiliated attorneys shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or services, including but not limited to lost profits, loss of data, or failure to achieve a recovery outcome.

GuruPayback's total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees, if any, actually paid by you to GuruPayback in connection with your case.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless GuruPayback, DMM Growth Solutions LLC, and their respective officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Any false or inaccurate information you provided to GuruPayback
• Your violation of any third-party rights
• Any independent actions you take regarding the respondent company without our knowledge or in violation of your obligations under these Terms

9. Termination

By you: You may terminate your engagement with GuruPayback at any time by providing written notice to cases@gurupayback.com. If you terminate after GuruPayback has commenced active work on your case and a recovery is subsequently achieved through efforts initiated by GuruPayback, you may still owe GuruPayback its contingency fee as specified in your engagement agreement.

By GuruPayback: We reserve the right to decline or discontinue services at any time if we determine that your case lacks sufficient merit, that you have provided false information, or that continued engagement would be contrary to applicable law or professional standards. If we discontinue services without cause, you will owe no fee.

Termination of a service engagement does not affect any rights or obligations that arose prior to termination, including fee obligations for recoveries already achieved.

10. Intellectual Property

All content on this Site — including text, graphics, logos, and design — is owned by DMM Growth Solutions LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Site without our express written permission.

By submitting information through our Site or communications, you grant GuruPayback a non-exclusive license to use that information for the purpose of evaluating and pursuing your case.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which DMM Growth Solutions LLC is organized, without regard to its conflict of law provisions.

Nothing in these Terms limits your rights as a consumer under applicable federal or state consumer protection laws, including the FTC Act and applicable state UDAP statutes.

12. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or our services, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or representative proceeding.

Nothing in this section prevents you from filing a complaint with the FTC, your state Attorney General, or any other consumer protection agency.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will provide notice to active clients by email.

Your continued use of our Site or services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please discontinue use of our Site and notify us to terminate any active engagement.
